CONSTITUTION AND BYLAWS Of CENTRAL REGION SWIM ONTARIO

General
The business affairs and procedures of Central Region will be carried out in accordance with the Constitution and Bylaws of Swim Ontario, except, and only, when modified as follows. The Central Region Constitution and Bylaws may only be changed at an Annual or general meeting of Central Region with a quorum of club representatives present. The bylaw numbers following refer to those in the Swim Ontario Constitution and Bylaws.
Bylaw No. 2
A club in good standing is one that has met all financial obligations owing to central Region1 and such other considerations that may, from tine to time, be reasonably required by the Board of clubs in the region.
Bylaw No. 3
The Central Region Board will consist of eleven (11) voting positions:
- Regional Director/Chair (elected)
- Two Officials Representatives (appointed)
- Two Coaches Representatives (appointed)
- Past Chair (non-elected)
- Five Directors (elected)
The position of Treasurer may be selected by the Chair from the Directors, or be appointed by the Chair from outside the Board. The Coaches Representatives will be appointed by the Central Region coaches who are accredited by the Ontario Swim Coaches Association (OSCA). The Officials Representatives will be appointed by the Ontario Swimming Officials Association for Central Region. In the case of Board positions vacated before completion of the normal term, such positions will be filled by appointment by the Board of Directors until the next Annual General Meeting. At that time the positions will be filled by regular election to complete the normal term. The six (6) Board positions which are filled by election, will serve terms of two (2) years each, with alternating replacement, such that each year three (3) positions will become vacant and require replacement at the Annual General Meeting:

Bylaw No. 4
Notice of Annual or general meetings shall be forwarded to member clubs at least fifteen (15} days prior to the date of the meeting. Each registered member club shall have, through its representative attending the Annual or general meetings, a single and equal vote. No proxies are permitted for voting purposes. A quorum shall consist of representatives from a minimum of one third (1/3) of central Region registered member clubs at Annual or general meetings. At Board meetings, apart from the Coaches and Officials Representatives, no proxies are permitted for voting purposes. A quorum at Board meetings shall consist of a simple majority, i.e. six (6) regular Board members. A general meeting of Central Region may be called at the request of four (4) or more member clubs, or at the discretion of the Central Region Board, for such issues requiring discussion and approval by the Central Region clubs. 05 March 2005
